Payment Terms

• Payment terms are net 30 days from invoice date unless otherwise agreed
• Invoices are due upon receipt and payment should be made to the specified bank account
• Late payments may incur a 1.5% monthly interest charge
• We reserve the right to suspend services for non-payment

Service Delivery

• Services are delivered according to the agreed project scope and timeline
• Changes to the project scope may impact delivery dates and costs
• We require timely feedback and approvals from clients for project progression
• Delays caused by client inaction are not our responsibility

Intellectual Property

• Custom work created for you becomes your property upon final payment
• Pre-existing tools, frameworks, and methodologies remain our intellectual property
• You grant us the right to use completed work samples in our portfolio
• All code and content are delivered with appropriate licenses

10. Limitation of Liability

CODEWAVE Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the services or website, even if we have been advised of the possibility of such damages.

11. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the course of business. Confidential information shall not be disclosed to third parties without written consent.

12. Termination

Either party may terminate services with written notice. Upon termination, you remain responsible for any outstanding invoices. We will provide reasonable assistance for transition of services.
